1. Acceptance of Terms

Softlyx Technologies provides digital services including, but not limited to, web design, web development, search engine optimisation (SEO), digital marketing, mobile app development, and related consulting services. The specific scope of services for each engagement will be defined in a separate project proposal or service agreement.

3. Client Responsibilities

As a client or user of our services, you agree to:

• Provide accurate, complete, and timely information, materials, and feedback required for project delivery.
• Ensure you hold all necessary rights to any content, images, or materials you supply to us.
• Not use our website or services for any unlawful, fraudulent, or harmful purpose.
• Not attempt to interfere with or disrupt the operation of our website or services.
• Keep login credentials and project access details confidential.

4. Intellectual Property

All content on the Softlyx Technologies website — including text, graphics, logos, images, and code — is the intellectual property of Softlyx Technologies and is protected by applicable copyright and intellectual property laws.

Upon full and final payment for a project, Softlyx Technologies grants the client a non-exclusive licence to use the deliverables for their stated business purpose. Softlyx Technologies retains the right to display completed work in our portfolio unless explicitly agreed otherwise in writing.

Pre-existing tools, frameworks, libraries, and proprietary code developed by Softlyx Technologies remain our intellectual property at all times.

5. Payment Terms

Payment terms are outlined in the individual project proposal or service agreement. In general:

• Projects typically require an advance payment (deposit) before commencement.
• Remaining balances are due upon project completion or as per agreed milestone schedule.
• Late payments may result in work suspension and may attract a late fee of 2% per month on the outstanding amount.
• Softlyx Technologies reserves the right to withhold final deliverables until full payment is received.

6. Revisions and Changes

Each project proposal specifies the number of included revision rounds. Revisions beyond the agreed scope will be treated as additional work and billed accordingly. Major scope changes requested after project commencement may require a revised proposal and timeline.

7. Limitation of Liability

To the fullest extent permitted by law, Softlyx Technologies shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of our website or services, including but not limited to loss of revenue, loss of data, or business interruption.

Our total cumulative liability for any claim arising out of or relating to our services shall not exceed the total amount paid by you to Softlyx Technologies in the three months preceding the claim.

8. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the engagement. Softlyx Technologies will not disclose your business data, project details, or sensitive information to third parties without your consent, except as required by law or as necessary to deliver the agreed services.

9. Termination

Either party may terminate a service agreement with written notice if the other party materially breaches the agreement and fails to remedy the breach within 14 days of receiving written notice. Upon termination, payment is due for all work completed up to the termination date. Softlyx Technologies reserves the right to terminate access for violations of these Terms.

10. Third-Party Services

Our services may involve or recommend third-party tools, platforms, or services (e.g., hosting providers, payment gateways, marketing platforms). Softlyx Technologies is not responsible for the performance, availability, or terms of these third-party services.

11. Governing Law

These Terms are governed by the laws of India. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts in Noida, Uttar Pradesh, India.

12. Changes to These Terms

Softlyx Technologies reserves the right to update these Terms at any time. Changes will be effective upon posting to this page with an updated date. Your continued use of our website or services after any changes constitutes your acceptance of the revised Terms.
